Universal Care Limited LLC Affiliate Terms & Conditions

1. Independent Contractor Relationship

Affiliate participates in the Program as an independent contractor. Nothing in this Agreement creates an employer–employee, partnership, or joint venture relationship. Affiliate has no authority to act on behalf of Universal Care Limited LLC.

2. Compliance with Laws & Regulations

Affiliate agrees to comply with all applicable laws, rules, and regulations, including but not limited to:

• Consumer protection and advertising laws.
• Federal Trade Commission (FTC) guidelines and any equivalent disclosure rules in their country.
• Privacy, data protection, and spam regulations.

Affiliate must not make any false, misleading, or unsubstantiated claims regarding Universal Care Limited LLC products. All affiliate promotions must include proper disclosures (e.g., “As an affiliate, I may earn a commission from qualifying purchases.”).

3. Marketing & Content Restrictions

Affiliate shall not:

• Use unapproved claims, testimonials, or before/after comparisons.
• Engage in spam, unsolicited emails, bots, or fake traffic.
• Misrepresent Universal Care Limited LLC, its products, or its services.
• Create fake websites, customer service pages, or impersonate Universal Care Limited LLC.
• Bid on Universal Care Limited LLC’s brand name, trademarks, or similar terms in search ads without written approval.
• Use Universal Care Limited LLC’s logos, images, or other intellectual property without written authorization.

4. Affiliate Responsibilities

Affiliate is solely responsible for all content they create and distribute. Affiliate represents and warrants that their promotional activities will not violate any law, regulation, or third-party rights. Affiliate agrees to remove or modify any promotional content immediately upon Universal Care Limited LLC’s request.

5. Commission & Payment

Affiliates will be paid commission as outlined in the Program terms on Universal Care Limited LLC’s Website/Portal.

• Payouts are scheduled twice per month, on the 15th and 30th of each month.
• 20% of each payout will be withheld for a period of 30–60 days to cover potential refunds, returns, or chargebacks. Any cleared balance will then be released in the next payment cycle.
• Universal Care Limited LLC reserves the right to withhold unpaid commissions if Affiliate breaches this Agreement.

6. Indemnification

Affiliate agrees to indemnify, defend, and hold harmless Universal Care Limited LLC, its directors, employees, and agents from any claims, damages, fines, penalties, or legal costs arising from:

• Affiliate’s violation of these Terms & Conditions.
• Affiliate’s misleading or unlawful advertising.
• Affiliate’s breach of applicable laws or third-party rights.

7. Termination

Universal Care Limited LLC may terminate Affiliate’s participation in the Program at any time, with or without cause, by providing written notice. If terminated for violation of these Terms, Affiliate forfeits all unpaid commissions.

8. Limitation of Liability

Universal Care Limited LLC is not liable for Affiliate’s actions, advertisements, or representations. Affiliate participates in the Program at their own risk.

9. Governing Law

This Agreement shall be governed by the laws of [Your Country/State]. Any disputes shall be resolved exclusively in the courts of [Your Jurisdiction].

10. Acceptance

By joining the Program, the Affiliate acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions.
